The service

These draft Terms govern access to Datumspec, a service operated by Midnight Datum Inc. Datumspec coordinates project scope, approvals, budgets, documents, and related workflows. Professional and project decisions remain with the people responsible for the work.

AI-assisted outputs may be incomplete or incorrect and require user or professional review before reliance.

Accounts and organizations

Users must provide accurate account information and protect access to their accounts. Organization administrators control invitations and permissions. Users must have authority to upload and share project materials.

Trials and subscriptions

The Team plan is CA$149/month with a 30-day organization trial. Stripe processes subscription payments. Subscription state may affect which product actions are available. These drafts do not promise refunds, prorations, tax treatment, or renewal terms.

Project content

Users retain their rights in project content and grant Midnight Datum Inc. only the permission reasonably needed to host, process, transmit, and display that content to operate requested Datumspec features.

Acceptable use

Do not use Datumspec unlawfully, attempt unauthorized access, introduce malicious code, infringe another person’s rights, or upload material you lack authority to use or share.

Third-party services

Optional integrations and service providers have their own terms. Their availability and operation are outside Datumspec’s direct control.

Availability and suspension

The service may change and uninterrupted availability is not promised. Access may be suspended to address security concerns, unlawful use, or material breach of these draft Terms.

Draft disclaimers

This section remains pending legal review. Datumspec is a project-coordination tool and does not replace legal, architectural, engineering, construction, accounting, or other professional advice.

Governing law

These draft Terms are governed by the laws of Ontario and the federal laws of Canada applicable in Ontario.
